CitroTech Terms and Conditions

These Terms and Conditions ("Terms") of CitroTech Inc. ("CitroTech") govern your use of CitroTech’s website and your purchase or use of CitroTech’s products and services. By accessing our site or engaging our services, you agree to these Terms. CitroTech may update these Terms at any time; continued use after changes are posted constitutes acceptance of the revised Terms.

1. Scope of Services

CitroTech provides wildfire risk mitigation products and services, including: (a) CitroSafe™ Systems — automated exterior wildfire defense sprinkler systems for structures; (b) Lumber Treatments — treatment or supply of fire-retardant-treated wood products; and (c) Long-Term Fire Retardant Spraying — application of fire-retardant chemistry to vegetation or structures. These Terms govern use of our website and all sales or installations of the above. Informational materials and advice are general in nature and do not guarantee protection against wildfires.

2. Acknowledgment of Wildfire Risks and No Guarantee

CitroTech’s products and services are designed to reduce wildfire risks, but no system or treatment can guarantee protection against all wildfires or damage. Wildfires are unpredictable. CitroTech makes no promise that its products or services will prevent fire, damage, injury, or loss of life.

CitroSafe™ sprinkler systems help mitigate hazards from embers, radiant heat, and flames, but effectiveness depends on maintenance, activation, and other factors. Systems are not a substitute for evacuation or emergency services.

Lumber treatments improve fire resistance but are not fireproof. Treated wood must be used per applicable building codes. Fire retardant spraying can reduce spread under some conditions but is not a fire shield and may be overwhelmed by extreme events.

You agree CitroTech shall not be held liable for wildfire-related losses beyond the limits stated in these Terms, and you acknowledge inherent limitations of mitigation products.

3. Limited Warranty for CitroSafe™ Systems

CitroTech offers a limited two-year warranty on new CitroSafe™ installation workmanship. During the warranty period, CitroTech (or authorized contractors) may provide inspection and repair for covered installation defects as described in your service agreement. The warranty does not cover damage from wildfires, disasters, misuse, third-party alterations, or lack of maintenance. It is not an insurance policy for wildfire damage. After two years, ongoing maintenance is your responsibility unless otherwise contracted.

To make a warranty claim, notify CitroTech in writing during the warranty period and provide reasonable access for inspection and repair.

4. Disclaimer of Warranties (No Other Warranties)

EXCEPT FOR THE LIMITED CITROSAFE™ WARRANTY ABOVE, CITROTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. PRODUCTS AND SERVICES ARE PROVIDED “AS IS.” Performance specifications and certifications are informational and do not guarantee results under every field condition.

No warranty is made as to duration of effectiveness of sprayed retardant in all environments. You are responsible for inspecting deliveries and reporting issues promptly (typically within three days of completion). Verbal statements do not modify these Terms.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITROTECH’S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE WEBSITE, PRODUCTS, OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO CITROTECH FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

CITROTECH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUES, OR LOSS OF USE, EVEN IF ADVISED OF THE POSSIBILITY.

CitroTech is not liable for delays or failures due to force majeure events including wildfires, natural disasters, power outages, government action, supply shortages, or other causes beyond reasonable control.

CitroTech does not insure your property; you should maintain adequate insurance. CitroTech is not responsible for insurance claim approval or denial.

6. Third-Party Services and Equipment

Installations may incorporate third-party components (pumps, valves, controllers, etc.). CitroTech is not the manufacturer of those products and does not warrant them beyond any manufacturer warranty. Your recourse for product defects may lie with the manufacturer.

CitroTech is not responsible for third-party emergency services, insurers, or neighbors’ actions. Compatibility with other products or treatments is not guaranteed.

7. Client Responsibilities and Indemnification

You agree to use CitroTech products and services per instructions, labels, and applicable laws. You are responsible for permits, HOA approval, and code compliance. Ongoing maintenance after warranty is your responsibility unless you purchase a separate maintenance program.

You agree to indemnify, defend, and hold harmless CitroTech and its affiliates, officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the site, products, or services, your negligence or misconduct, or your breach of these Terms.

8. Intellectual Property Rights

All website content, CitroTech® branding, CitroSafe™ marks, product names, text, images, and documentation are owned by CitroTech or its licensors. You receive a limited, revocable license to access the site for personal, non-commercial evaluation. You may not copy, scrape, or distribute our content without written consent.

Feedback you provide may be used by CitroTech without restriction or compensation.

9. Termination and Refusal of Service

CitroTech may refuse, suspend, or terminate access or services for violation of these Terms, unlawful conduct, or risk to safety. Service-specific cancellation terms are governed by any signed agreement. Surviving provisions (warranties, limitations, indemnity, governing law) remain in effect after termination.

10. EPA and Regulatory Disclaimers

EPA Safer Choice and similar labels indicate ingredient criteria established by EPA; they do not constitute EPA endorsement of fire-mitigation performance. Regulatory recognition relates to stated scopes (e.g., ingredient safety) and does not override wildfire risk disclaimers in Section 2.

Follow label directions for any regulated product. Refer to CAL FIRE and local authorities for preparedness guidance; CitroTech products are supplementary measures.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules that would apply another state’s laws. You agree to exclusive jurisdiction in the state or federal courts located in Wyoming for disputes arising from these Terms, to the extent permitted by law.

12. Entire Agreement and Severability

These Terms, together with any signed order or service agreement and the Privacy Policy, are the entire agreement regarding their subject matter. If a specific contract conflicts with these Terms, the signed contract controls for that transaction to the extent of the conflict. If any provision is invalid, the remainder stays in effect. Failure to enforce a provision is not a waiver.
